Request for reservation and subsequent procedure

The submission of this reservation request requires the performance of the respective payment, in the amount of EUR 5,000, through one of the permitted payment methods (MBway, ATM or Digital IBAN).

Following the successful completion of the reservation request, with payment being validated, the requested will be registered and, once confirmed, you will receive by email at the email address indicated in your Personal Data, the Reservation Document, duly dated and signed, which contains all the details of the reservation and constitutes discharge of the payment made.

Once the reservation has been formalized, you will be granted a 45-day period for the final approval of the draft of the Promissory Sale and Purchase Agreement (PSPA), counted from the date of submission of the referred draft.

Upon signing the PSPA, expected to be granted in June of this year, a payment equivalent to 10% of the purchase price will be made (deducted from the amount of EUR 5,000 already paid upon the reservation) and carried out on the date of signature.

The subsequent signing of the PSPA is subject to the prior accomplishment of legally required compliance diligences, in terms satisfactory to VIZTA.

The reservation does not establish any contractual bound for either party, nor does it bind the same to pursue any future negotiations, but it has rather the sole purpose of formalizing the expression of intent on the part of the interested party, which is registered in preliminary terms and remains subject to a discretionary assessment by VIZTA.

Should you choose to withdraw from the reservation made, it will suffice to confirm that you no longer keep your interest therein. Without prejudice, in the event that the PSPA is not signed within the deadline set out above, the reservation will be automatically cancelled. In case of withdrawal or automatic cancellation, we will proceed to return the amount received, within 15 days, by bank transfer to be made to the bank account of origin of the funds, held by the interested party, upon proof of the respective bank details being provided by the same.

The assignment of the rights and obligations of the intended purchaser under the PSPA will not be allowed until all units of the same typology within the project are object of a PSPA and remains in any case subject to Nexity's prior consent.
